Celsius completes US$1.8B acquisition of Alani Nu

Celsius strengthens its position in the energy drink market with the acquisition of Alani Nu, targeting health-conscious consumers and global expansion.

USA – Celsius Holdings, Inc. has finalized its acquisition of Alani Nutrition LLC (Alani Nu) in a US$1.8 billion deal, including US$150 million in tax assets.

The net purchase price of US$1.65 billion was structured as a combination of cash and stock.

The merger brings together two leading brands in the functional beverage space, positioning them to capitalize on the growing consumer demand for zero-sugar, health-focused drinks.

“The closing of this transaction further strengthens our ability to grow the energy drink category and reach new consumers who seek better-for-you, functional beverages as a healthier alternative to traditional, sugary energy drinks,” said Celsius Chairman and CEO John Fieldly.

Alani Nu, founded in 2018, has quickly gained traction among Gen Z and millennial consumers with its range of low-calorie, wellness-oriented beverages.

The brand has built a strong reputation, particularly among female consumers, and has seen rapid growth in retail sales, which surged 78% year-over-year in the latest reporting period.

“Alani Nu has built a strong brand and a differentiated consumer base, which we believe will thrive and grow within the Celsius family,” said Alani Nu co-founder Max Clemons. Key members of Alani Nu’s leadership team will remain involved as advisors to support business continuity and expansion.

The acquisition comes as the global energy drink market is projected to grow at a compound annual growth rate (CAGR) of 10% from 2024 to 2029. By integrating Alani Nu’s strong brand identity and loyal consumer base, Celsius aims to accelerate its presence in the better-for-you beverage category.

Beyond the acquisition, Celsius is expanding its international footprint. In March, the company announced its entry into the Benelux region, partnering with Suntory Beverage & Food Benelux to introduce its products in Belgium and Luxembourg.

This follows successful launches in Australia, France, Ireland, New Zealand, and the United Kingdom.
